Item 2.02. Results of Operations and Financial Condition.
On July 20, 2006, Citizens Banking Corporation ("Citizens") issued a press release announcing earnings for the second quarter of 2006 and certain other information. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
